Terms of Service

1. Services

AYIRAVI is a digital growth agency providing brand identity, web development, influencer marketing, social media management, growth marketing, and content production services. Services are delivered as described in the applicable service agreement or proposal provided to the client.

2. Engagement

Work begins upon receipt of signed proposal and initial payment. Timelines quoted in proposals are estimates. Client is responsible for providing timely feedback, approvals, and access to necessary accounts and materials. Delays in client response may extend delivery timelines.

3. Payment Terms

• Starter and Growth tiers: Full payment due before work begins.
• Scale retainer: Monthly payment due on the first of each month. 3-month minimum commitment.
• Late payments incur a 1.5% monthly fee after a 7-day grace period.
• All prices are in USD unless otherwise stated in the proposal.

4. Intellectual Property

Upon full payment, client receives full ownership of all final deliverables (brand assets, designs, copy, code). AYIRAVI retains the right to display work in portfolios and case studies unless the client requests otherwise in writing.

5. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the engagement. This includes business strategies, financial data, customer information, and unpublished product details.

6. Limitation of Liability

AYIRAVI's total liability shall not exceed the total fees paid by the client for the specific service giving rise to the claim. We are not liable for indirect, incidental, or consequential damages, including lost profits or business interruption.

7. Termination

Either party may terminate with 30 days written notice. For Scale retainers, the 3-month minimum applies. Upon termination, client pays for all work completed to date. Unused prepaid fees for undelivered work are refunded within 14 business days.

8. Modifications

These terms may be updated periodically. Continued use of our services after changes constitutes acceptance. Material changes will be communicated to active clients.
